Please read these Gramodhaya Services Terms of Use, the Gramodhaya Privacy policy, the Gramodhaya Conditions of Use, and the other applicable rules, policies, and terms available at the Gramodhaya.in website, or on or through the Gramodhaya Software (collectively, this “Agreement”) before using the Gramodhaya Services on a Product. By accessing or using the Gramodhaya Platform, you acknowledge that Gramodhaya acts solely as a marketplace intermediary and is not the seller, manufacturer, or distributor of products listed on the Platform. If you do not accept the terms of this Agreement, then you may not use the Gramodhaya Services and you may return your Product in accordance with any applicable return policy. Your use of any of the Gramodhaya Services is subject to any additional rules, policies, and terms that apply to those Gramodhaya Services.
For the purpose of these Gramodhaya Services Terms of Use:
- “Gramodhaya Services” means the provision of Gramodhaya Software, Digital Content, and support and other services that we provide Product users, i.e. the facilitation of B2C and B2B transactions between independent vendors and buyers, including listing, order management, payment facilitation, and settlement support, without Gramodhaya assuming ownership or control over products.
- “Gramodhaya Software” means all software we make available to you for use on a Product, but excludes third-party Digital Content.
- “Digital Content” means digitized content (including third-party content), such as videos, music, apps, games, skills, photos, audio, books, newspapers, magazines, and related features and functionality.
- ‘Product’ means goods listed and sold by independent vendors on the Gramodhaya Platform, including locally produced and rural-sourced products.
1. Gramodhaya Services, Gramodhaya Software
a. Use of Gramodhaya Services on a Product. Users must create a registered account on the Gramodhaya Platform to place orders or sell products, subject to verification requirements.
b. Use of the Gramodhaya Software. Except as provided in this section, you may use the Gramodhaya Software only on your Product. For additional terms that apply to the Gramodhaya Software, see the Additional Gramodhaya Software Terms contained in the Gramodhaya Conditions of Use.
c. AI Assistant Services. Your use of the Gramodhaya platform may include access to an AI-powered assistant available through the Gramodhaya mobile application and/or website (“AI Assistant”). The AI Assistant may help you perform certain tasks, including but not limited to navigating the platform, searching for products or services, obtaining order-related information, checking availability or delivery status, receiving recommendations, or interacting with other features of the platform.
When you use the AI Assistant, Gramodhaya may process your inputs (such as text, voice inputs, or commands, where enabled) and other relevant information (including device information and approximate location, where applicable) through cloud-based systems in order to respond to your requests, improve accuracy, enhance user experience, and improve the functionality of the platform and related services.
Your use of the AI Assistant is subject to Gramodhaya’s Terms of Service and Privacy Policy. Information on how the AI Assistant functions, how your data is processed, and how you may manage or delete your interaction data (to the extent applicable) will be made available on the Gramodhaya platform. If you do not wish for such processing, you should refrain from using the AI Assistant features.
d. Gramodhaya operates solely as an intermediary marketplace as defined under the Consumer Protection (E-commerce) Rules, 2020. All products are listed, priced, and fulfilled by independent vendors. Gramodhaya does not guarantee product quality, legality, or compliance.
2. Connectivity and Availability
a. Internet Connectivity. Gramodhaya Platform may require an Internet connection from a third-party provider in order to use some features. In such cases, your Internet connection is subject to the fees, restrictions, terms and limitations imposed by your provider.
b. Availability. Some Gramodhaya Platform may be unavailable, vary (by product or geography, for example), be offered for a limited time, or require separate subscriptions.
3. General
a. Information Received. Gramodhaya may collect and process personal data in accordance with the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000, as detailed in the Gramodhaya Privacy Policy.
Gramodhaya platform may provide us with information about your Product, use of the Product, and use of Digital Content, other content, and the Gramodhaya Services (such as search queries, installed applications, viewing and usage data, available memory, log files, network diagnostics, voice information, and connectivity). Manufacturers of your Product may also provide us with similar information. Information provided to Gramodhaya may be processed to improve your experience and our services, and may be stored on servers outside the country in which you live. We will handle any information we receive in accordance with the Gramodhaya.in Privacy Notice. Please visit the Settings menu of your Product if you prefer to opt out of providing certain information.
Data shared with vendors, logistics partners, and payment gateways is limited to what is strictly necessary for order fulfilment.
Vendors shall be onboarded on the Gramodhaya Platform free of charge, and Gramodhaya shall be entitled to deduct a commission at the rate 12 to 15% on each successful transaction, with net settlement of amounts payable to vendors being effected within nine (9) days from completion of the order, after accounting for applicable taxes, returns, cancellations, and other lawful adjustments, it being expressly clarified that Gramodhaya acts solely as a payment facilitator and marketplace intermediary.
The Platform facilitates both B2C and B2B transactions. Bulk orders, pricing, delivery timelines, and commercial risks remain between the vendor and buyer, with Gramodhaya acting only as a facilitator.
b. Information Provided To Others. You are responsible for any information you provide to others, including third-party Digital Content providers. Use of information you provide to these third parties will be subject to any privacy notice or other terms that they may provide to you.
c. Changes to Gramodhaya Services; Amendments. We may change, suspend, or discontinue the Gramodhaya Services, or any part of them, at any time without notice. We may amend any of this Agreement’s terms at our sole discretion by posting the revised terms on the Gramodhaya.in website. Your continued use of Gramodhaya Services after the effective date of the revised Agreement constitutes your acceptance of the terms.
d. Termination. Your rights under this Agreement will automatically terminate without notice if you fail to comply with any of its terms. In case of such termination, Gramodhaya may immediately revoke your access to the Gramodhaya Services. Gramodhaya’s failure to insist upon or enforce your strict compliance with this Agreement will not constitute a waiver of any of its rights. Gramodhaya reserves the right to delist vendors or products, including through automated or AI-enabled compliance checks, keyword scanning, and policy enforcement mechanisms.
e. Disputes/Binding Arbitration. Any dispute or claim arising from or relating to this Agreement, a Product, the Gramodhaya Software, or the Gramodhaya Services is subject to arbitration seated at Kochi, Kerala, in accordance with the Arbitration and Conciliation Act, 1996. Courts at Kochi alone shall have jurisdiction, and all other terms in the Gramodhaya.in Conditions of Use. You agree to those terms by entering into this Agreement, or using a Product or the Gramodhaya Services.
f. Disclaimer of Warranties and Limitation of Liability. Products are developed and manufactured by third parties, and we have no responsibility or liability for any aspect of Products except the Gramodhaya Services. Without limiting the Disclaimer of Warranties and Limitation of Liability terms in the Gramodhaya.in Conditions of Use, unless otherwise required by applicable law, Gramodhaya’s liability, if any, shall be limited to the commission earned from the transaction in question, subject to applicable law.

h. Nature of Platform & Role of Gramodhaya
Gramodhaya operates as a marketplace e-commerce platform that facilitates transactions between independent third-party sellers (“Vendors”) and consumers. Gramodhaya does not itself sell or own the products listed on the platform, unless expressly stated otherwise, and is not a party to the contract of sale between the Vendor and the consumer.
i. Legal Identity & Contact Disclosure
The legal name of the e-commerce entity, its principal place of business, website details, and customer care contact information, including email address, telephone numbers, and grievance officer details, are displayed prominently on the platform in a clear and accessible manner.
j. Seller Information Disclosure
Details of sellers offering goods or services on the platform, including business name, geographic address, customer care contact details, ratings or feedback (where applicable), and other relevant information necessary to enable consumers to make informed pre-purchase decisions, are made available on the platform.
Upon written request by a consumer after purchase, Gramodhaya shall provide the seller’s principal geographic address, website details, email address, and other necessary information to enable effective dispute resolution.
k. Fair Trade & Non-Discrimination
Gramodhaya does not engage in unfair trade practices, price manipulation, or arbitrary discrimination between consumers of the same class, and does not impose unjustified prices having regard to prevailing market conditions or extraordinary circumstances.
l. Consent for Purchase
Consumer consent for purchase of goods or services is recorded only through explicit and affirmative actions taken by the consumer. Gramodhaya does not record consent automatically, including through pre-ticked checkboxes.
m. Differentiated Treatment Disclosure
Any differentiated treatment, if applicable, given by Gramodhaya between sellers or goods of the same category (including ranking, visibility, or promotional placement) is disclosed in its terms governing relationships with sellers.
